Course and written materials; right of entry: Our professors discuss, during their lectures, the whole specifications table, as provided by the “Junta Examinadora de Aspirantes al Ejercicio de la Abogacía” of the Puerto Rico Supreme Court. However, AKADEMIA LLC does not guarantee or imply that you will pass the bar exam the first time you take it or in any specific number of times. Nevertheless we motivate you to take and pass the bar the first time. Study materials will be provided in digital format or in print, at the sole discretion of AKADEMIA LLC. Print materials, if provided, will be provided before each subject matter, during the summer course. After the summer course, printed materials can be provided as a package, covering all 14 subject matters examined in the Puerto Rico Bar Exam. At AKADEMIA LLC we are very careful of preserving an optimal teaching and learning environment for our professors and students, free of disruptive behavior or disrespectful characters. We will, by all means legally available, try to avoid an additional burden to our professors and students, beyond those natural to the stressful process of Bar Exam preparation. AKADEMIA LLC reserves the right of entry or admission to the live course (repaso presencial) before or after having enrolled and paid for the course. We reserve the right, without prior explanation, to move students from the Live Course (Repaso Presencial) to the Online Courses or from the Online Livestreaming Course (Online En Vivo) to the Online On Demand Course at any time and for any reasons we deem apropiate. 7. Internet Speed It is recommended that you use a high speed internet connection. The compatible operating systems may change from time to time. AKADEMIA LLC is not responsible for your failure to use the recommended or compatible software. 8. Password Disclosure You are prohibited from sharing your username and/or password with any other person, and you are responsible for ensuring that you do not take any actions -- or fail to take any actions -- that could result in their unauthorized access and use of AKADEMIA´S websites or information. If, at any time, you are issued a username and/or password or other positive identifiers of the user issued and authorized by AKADEMIA LLC and you learn or suspect that such identifiers have been disclosed or otherwise made known to any person other than yourself, you agree to immediately change your password to prevent unauthorized access to your account. Any violation of this clause will be reported to the Junta Examinadora de Aspirantes al Ejercicio de la Abogacía. 9. When you access content in our website, we collect information, including, but not limited to, information about the lectures you watch online, the test questions you complete, your performance on practice tests, and your progress toward full completion of all course assignments. Information concerning your usage of our site and your progress using our study materials ("Course Performance Information") may be disclosed to third parties such as educational institutions, professors, and product development partners for a variety of purposes, including, but not limited to, analyzing and improving bar passage rates and for the development of new products and services. To the extent an educational institution (e.g., your law school) collects and maintains Course Performance Information, that information may be considered an educational record under the Family Educational Rights and Privacy Act ("FERPA"), 20 USC 1232g. If so, you may have certain rights of access and confidentiality as to those educational records, if any, as a student of that institution. By accessing and using AKADEMIA´S websites services, you consent to allow free exchange of Course Performance Information between AKADEMIA´S websites and your educational institution. 11. Cancellation You may no longer cancel your enrollment once you have been shipped course materials, attended a bar review class, or had access to any online bar review course content, either for the present or past recorded courses, whichever comes first. 12. Choice of Law and Jurisdiction This Agreement shall be governed by and construed in accordance with the laws of Puerto Rico, without reference to any conflict of law principles. 13. Limitation of Liability IN NO EVENT SHALL AKADEMIA LLC OR ITS EMPLOYEES, AGENTS, LICENSORS OR CONTRACTORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR MULTIPLE DAMAGES OF ANY KIND, INCLUDING EMOTIONAL DAMAGES, LOSS OF PROFITS, REVENUES, OR OTHER ECONOMIC LOSSES WHETHER DEEMED DIRECT OR CONSEQUENTIAL AND REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER SUCH DAMAGES WERE REASONABLY FORESEEABLE. IN NO EVENT SHALL OUR LIABILITY FOR ANY DAMAGES, REGARDLESS OF KIND OR TYPE, TO YOU OR ANY OTHER PERSON, EXCEED two hundred dollars ($200.00). 14. Limitation of Claims; Mediation and Arbitration Any action on any claim against AKADEMIA LLC must be brought by the user within one (1) year following the date the claim first accrued, or shall be deemed waived. The only remedy is limited to mediation, and then, if that fails, to binding arbitration, by professionals selected by AKADEMIA LLC . No litigation will be brought in court for any reason. 15. Severability Whenever possible, each provision of these Terms and Conditions shall be interpreted in such manner as to be effective and valid under applicable law, but if any provision of these Terms and Conditions shall be prohibited or invalid under applicable law, such provision shall be ineffective to the extent of such prohibition or invalidity without invalidating the remainder of such provision or the remaining provisions of these Terms and Conditions. Any unenforceable provision will be replaced by a mutually acceptable provision which comes closest to the intention of the parties at the time the original provision was agreed upon. 16. Indemnification You agree to defend, indemnify, and hold AKADEMIA LLC and its employees, agents, licensors or contractors harmless from and against all claims, demands, actions, suits, damages, liabilities, losses, settlements, judgments, costs and expenses (including but not limited to reasonable attorney’s fees and costs), whether or not involving a third party claim, which arise out of or relate to your use of the AKADEMIA´S websites, including without limitation, your violation of these Terms and Conditions, in each case whether or not caused by the negligence of AKADEMIA LLC or its employees, agents, licensors or contractors and whether or not the relevant claim has merit. In the event that any third party claim is brought, AKADEMIA LLC has the right and option to, at its own expense, undertake the defense and control of such action with counsel of its choice. If AKADEMIA LLC exercised this option, you agree to cooperate with it in asserting any available defenses. 17. Entire Agreement and Modification This is the entire agreement between the parties.
